Terms and Conditions of Sale

These terms and conditions of sale (“Terms”) govern sales made by SENAJAIN, a watch and jewellery-and-watchmaking (HBJO) trading company established at 3 Bernardin Street, Port Louis, Republic of Mauritius (BRN C25224332) (“the Seller”), through the senajain.com website, to its professional reseller customers (“the Customer”).
1. Purpose and scope
The senajain.com store is reserved for approved professional resellers. Any order implies full acceptance of these Terms, which prevail over any purchase conditions of the Customer, unless otherwise agreed in writing by the Seller. Sales are made exclusively between professionals; they are not subject to the rules applicable to consumers.
2. Products
The products offered are watches and jewellery-and-watchmaking items of various brands. Photographs, dimensions and descriptions are provided for information only and are not contractually binding; slight variations may occur. Products are offered subject to available stock.
3. Reseller account
Access to the catalogue and prices requires the creation of an account and its approval by the Seller. The Customer warrants the accuracy of the information provided and keeps its login credentials confidential. The Seller reserves the right to refuse or suspend an account.
4. Orders
Orders are placed online from the reseller account. No payment is made online: the order constitutes a request and becomes final only after confirmation by the Seller, subject to availability. The Seller may refuse an order for a legitimate reason (unavailability, prior payment dispute, etc.).
5. Prices
The prices shown on the site are expressed in euros (EUR) and are reserved for approved resellers. They are exclusive of taxes, duties, shipping and insurance costs, which remain payable by the Customer unless otherwise stated. The Seller reserves the right to change its prices at any time; products are invoiced on the basis of the price in force when the order is confirmed.
6. Payment terms
The terms, deadlines and means of payment are agreed between the parties and specified on the invoice. In the event of late payment, late-payment interest may be applied under the conditions provided by law and by the invoice, without prejudice to the Seller’s other rights.
7. Delivery and transfer of risk
Products are shipped from Mauritius under the terms agreed with the Customer. Delivery times are indicative; a delay may not give rise to cancellation or compensation. Unless otherwise agreed (applicable Incoterm), the risks of loss or damage pass to the Customer upon handover of the products to the carrier.
8. Retention of title
The products remain the property of the Seller until full payment of their price, principal and incidentals. This retention-of-title clause does not affect the transfer of risk provided for in Article 7.
9. Receipt and claims
The Customer checks the condition and conformity of the products on receipt. Any reservation regarding a shortage, damage or apparent non-conformity must be made in writing to the Seller within a reasonable time after receipt, together with supporting evidence. No return is accepted without the Seller’s prior agreement.
10. Warranty
The products benefit from the statutory warranty against hidden defects provided by the Mauritian Civil Code (Code Civil Mauricien), as well as, where applicable, the manufacturer’s commercial warranty under its own conditions. The warranty does not cover normal wear, nor defects resulting from improper use, modification or inappropriate maintenance.
11. Liability
The Seller’s liability is limited to the amount of the relevant order and may not be engaged for indirect damage (loss of operation, profit or clientele). The Customer, being a professional, is responsible for reselling the products in compliance with the applicable regulations.
12. Intellectual property
The brands, logos and visuals of the manufacturers remain the property of their respective owners. The elements of the senajain.com site (structure, texts, visuals) are protected and may not be reproduced without authorisation.
13. Personal data
Data collected in connection with the business relationship is processed in accordance with our Privacy Policy and the Data Protection Act 2017 of the Republic of Mauritius.
14. Force majeure
The Seller may not be held liable for the non-performance of its obligations in the event of a force majeure event within the meaning of Mauritian law (in particular disaster, strike, or interruption of transport or supplies).
15. Governing law and jurisdiction
These Terms are governed by the law of the Republic of Mauritius, in particular the Mauritian Civil Code and the Commercial Code (Code de Commerce). Any dispute relating to their interpretation or performance falls within the exclusive jurisdiction of the courts of Mauritius, failing amicable settlement.
